LinkXUP is a free online social networking service. Our mission is to provide a space for expression of events and useful services.

We mainly offer the following features:

  • Events : allows each user to freely publish an event while respecting our conditions of use. The events are offered by type (Sport, culture, promotion etc.)
  • Originals : allows each user to publish an originality, unusual by its nature (A place, an artist, a project, etc.)
  • Profiles : allows each user to follow or contact a useful member displayed, by their profession or sector of activity, of the LinkXUP community.

  1. Introduction

1.1 Contract

When you use our Services, you accept these terms in full. Your use of our Services is also subject to our Cookie Policy and Privacy Policy, which explain our methods for collecting, using, sharing and storing your personal information.

You acknowledge that by clicking “Create Your Account”, or similar item, registering for, accessing or using our Services (described below), you agree to enter into a legally binding contract with LinkXUP (even if you use our Services on behalf of a profit-making entity or company). If you do not agree to this agreement (the “Agreement” or the “Terms of Use”), do not click “Create your account” (or similar item) and refrain from accessing our Services and to use them. If you wish to terminate this contract, you may do so at any time by closing your account and no longer using our Services.

Services

This Agreement applies to LinkXUP.app, LinkXUP branded applications, other sites, applications, communications and other services related to LinkXUP that claim to be offered under this Agreement (the “Services”), including off-site collection of data for these Services, including our advertisements, and the “Apply with LinkXUP” and “Share on LinkXUP” plugins. Registered users of our Services are “Members” and unregistered users are “Visitors”.

“Members” may be individuals, non-profit entities or corporations.

1.2 Members and Visitors

When you register for the LinkXUP Services, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor”.

1.3 Modification

We may make changes to the Agreement.

We may modify this Agreement, our Privacy Policy and our Cookie Policy from time to time. If we make material changes, we will notify you through our Services, or by other means, to give you an opportunity to review the changes before they take effect. We recognize that changes cannot be retroactive. If you object to any of the changes, you can close your account. If you continue to use our Services after we post or send you notice of changes we have made to these Terms, you accept the updated Terms as of their effective date.

  1. Obligations

2.1 Right to Services

As part of this Agreement, you guarantee to us the following things:

You have the capacity to enter into this Contract and you are of the minimum age required.

               The Services are in no way intended for persons under the age of 16.

In order to use the Services, you agree to the following conditions: (1) you are “Minimum Age” (defined below) or older; (2) you hold a single LinkXUP account, which must be in your real name; and (3) LinkXUP has not prohibited you from using its services. Creating an account with incorrect information constitutes a violation of our conditions, particularly in the case of accounts registered in the name of third parties or persons under the age of 16.

The minimum age is 16 years (“Minimum Age”). However, in the event that the law requires that you be older than indicated for LinkXUP to legally provide you with the Services without parental consent (including the use of your personal data), then the minimum age would be that stipulated by the law.

2.2 Your account

You will keep your password secret.

You will not share an account with another person and you will follow our rules and the law.

Members are account holders. You agree to: (1) use a strong password and keep it confidential; (2) not to transfer one or more parts of your account. You are responsible for all use of your account unless you close it or report misuse.

2.3 Regulation

All our services are free.

 

2.4. Notifications and Messages

You agree that we may provide you with notices and messages through our websites, applications and the contact details you provide to us. If your contact information is not up to date, important notifications may not reach you.

You agree that we may provide you with notices and messages by the following means: (1) within the Service or (2) sent to the contact information you provide to us (e.g., email address, mobile number, postal address) . You agree to keep your contact information up to date.

2.5 Sharing

When you share information on our Services, that information may be viewed, copied and used by third parties.

Our Services allow you to send messages and share information in multiple ways, including through your profile, articles, links to news articles, messages and InMails. The information and content that you share or publish may be seen by other Members, Visitors or third parties (including outside the Services). According to the available settings.

We have no obligation to post any information or content on our Service. We may remove any information or content with or without notice.

 

  1. Rights and restrictions

3.1 Your license to LinkXUP

You own all content, all feedback and all personal data you provide to us, but you also grant us a non-exclusive license.

As established between you and LinkXUP, you own the content and data that you submit to the Services or post on the Services and you grant LinkXUP and our affiliates only the following non-exclusive permission:

A worldwide, assignable and sublicensable right to use, copy, modify, distribute, publish and process the information and content you provide through our Services and the services of third parties, without further consent, notice and/or remuneration to you or to third parties.

3.2 Availability of services

We may modify or terminate a Service, or change our prices in the future.

You may change, suspend or discontinue any Service. We may also change our prices with reasonable prior notice to you to the extent permitted by law.

We do not guarantee that we will store or continue to display the information and content you have posted. LinkXUP is not a Storage Service. You agree that we have no obligation to store, maintain or provide you with a copy of any information or content that you or others transmit to us, except to the extent required by applicable law and as described in our Privacy Policy.

3.3 Other sites, content and applications

Your use of third party content and information posted on our Services is at your own risk.

Third parties may market their own products and services through our Services. We are not responsible for the activities of these third parties.

During your use of the Services, you may encounter information and content that is inaccurate, partial, delayed, confusing, illegal, objectionable or otherwise harmful. Generally, LinkXUP does not review content posted by its Members or others. You acknowledge that we are not responsible for the content and information of third parties (including those of other members). We cannot always prevent this misuse of our Services and you acknowledge that we are not responsible in this case. You also accept the risk that you or your organization may be wrongly associated with content about third parties when we notify your connections and followers that you or your organization have been mentioned in the news. Members have several choices regarding this feature.

LinkXUP can help connect Members who offer their services to other Members seeking those services. LinkXUP does not provide or employ anyone to provide these services. You must be at least 18 years of age to offer, provide or supply these services. You acknowledge that LinkXUP does not supervise, direct, control or monitor the Members providing such services and agree that (1) LinkXUP is not responsible for offering, providing or supplying such services , (2) LinkXUP does not endorse any Member for the services it offers and (3) nothing shall create any employment, agency or joint venture relationship between LinkXUP and a Member offering services. If you are a Member offering services, you represent and warrant that you possess all required licenses.

Likewise, LinkXUP may help you register and/or participate in events organized by Members and connect with other Members who participate in such events. You agree (1) that LinkXUP is not responsible for the conduct of Members or other participants in such events, (2) that LinkXUP does not endorse any events listed on our Services, (3) that LinkXUP does not control or verifies any such events and (4) to comply with the terms that apply to such events.

3.4 Restrictions

We have the right to restrict how you connect and interact on our Services.

LinkXUP reserves the right to limit your use of the Services, including the number of your connections and your ability to contact other members. LinkXUP reserves the right to restrict, suspend or terminate your account if you violate this Agreement or the law or if your use of the Services is abusive (for example, if you violate the rules in the Do’s and Don’ts section). do not do).

3.5 Intellectual property rights

LINKXUP AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE SERVICES, INCLUDING THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE AND PROVIDE THE SERVICES (INCLUDING CONTENT AND INFORMATION) “AS IS” AND “SUBJECT TO AVAILABILITY”. TO THE FULL EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, LINKXUP AND ITS AFFILIATES DISCLAIM ALL IMPLIED OR STATUTORY WARRANTIES, INCLUDING ALL IMPLIED WARRANTIES OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS. FOR SPECIAL USE.

4.2 Disclaimer

Restrictions on our legal liability to you.

TO THE FULLEST EXTENT PERMITTED BY LAW (AND UNLESS LINKXUP ENTERS INTO A SEPARATE WRITTEN AGREEMENT WHICH VOID THIS AGREEMENT), LINKXUP, INCLUDING ITS AFFILIATES, WILL HAVE NO LIABILITY ARISING FROM THIS AGREEMENT FOR LOST PROFITS OR OPPORTUNITIES LOST BUSINESS, REPUTATION (E.G. INSULTING OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G. INTERRUPTIONS OR LOSS OF YOUR DATA OR CONTENT, THEIR USE, OR CHANGES MADE) OR ANY INDIRECT DAMAGES , INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE.

4.3 Basis of negotiations and exclusions

The limitations of liability in this Section 4 are part of the basis of bargaining between you and LinkXUP and apply to all claims for damages (for example, warranty, tort, negligence, contract and law) including whether LinkXUP or its affiliated companies have been informed of the possibility of such damage, and even if these liability claims do not fulfill their ultimate purpose.

These limitations of liability do not apply in cases of death or personal injury, fraud, gross negligence or willful misconduct, or in cases of negligence due to the breach of a substantial duty, a duty substantial enough to cause make the condition precedent for providing services and on which you can reasonably rely, but only to the extent that the damage was caused directly by the violation and was foreseeable at the conclusion of this Agreement and to the extent that it is typical in the context of this Agreement.

  1. Termination

Either party may terminate this Agreement, but certain rights and obligations will continue.

You and LinkXUP may terminate this Agreement at any time by giving notice to the other party. Upon termination, you lose the right to access or use the Services. The following provisions survive termination:

  • our rights relating to the use and disclosure of your feedback;
  • the rights of Members and/or Visitors to continue to reshare content and information that you have shared through the Services;
  • articles 4, 6 and 8.2 of this Contract;
  • any amount owed by either party prior to termination remains due after termination.

  1. Applicable law and dispute resolution

In the unlikely event that we enter into a dispute, depending on where you reside, you and LinkXUP agree to resolve it through the courts of Fez and in accordance with Moroccan law.

  1. General conditions

Here are important details about this Agreement.

This Agreement (including any other terms to which we may subject you if you use a feature of the Services) is the only Agreement between us regarding the Services. It cancels and replaces all previous Contracts for the Services.

If we do not act following a violation of this Agreement, this does not mean that LinkXUP waives its rights under this Agreement. You may not assign or transfer this Agreement (or your membership in or use of the Services) to any other person without our consent. However, you agree that LinkXUP may assign this Agreement to its affiliates or to an acquirer without your consent. This Agreement does not contain any stipulations for others.

 

  1. Dos and Don’ts of LinkXUP

LinkXUP is a community of individuals, non-profit entities and corporations. This “Do’s and Don’ts” list and our Individual, Non-Profit and Corporate Community Policies outline what you can and cannot do on our Services.

8.1 To do

You agree to :

    • comply with all applicable laws, including, without limitation, privacy laws, intellectual property rights laws, unsolicited email laws, monitoring laws exports, tax laws and regulatory requirements;
    • communicate accurate information to us and update it;
    • use your real name on your profile;
    • use the Services in a professional manner.

8.2. Not to do

You agree not to :

    • create a false identity on LinkXUP, forge your identity, create a Member profile for anyone other than yourself, or use or attempt to use another’s account;
    • develop, support or use software, devices, scripts, robots or any other means or processes (including spiders, browser plug-ins and add-ins, or any other technology) intended to perform web scraping of the Services or otherwise copy profiles and other data from the Services;
    • replace any security features or circumvent or avoid any access controls or use Service limitations (such as limitations on keyword searches or profile views);
    • copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of LinkXUP;
    • disclose information that you do not have permission to disclose (such as personal data of others, including your non-profit entity or employer);
    • violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets or any other property rights. For example, do not copy or distribute (except through the sharing functionality provided) members’ posts or any content without their permission, which they may give by publishing under a Creative Commons license;
    • violate the intellectual property rights or other rights of LinkXUP, including, but not limited to, (i) copying or distributing our learning videos or other materials or (ii) copying or distributing our technologies, unless they have been released under an open source license, (iii) the use of the term “LinkXUP” or our logos in a business name, email address or URL, except as described in the Trademark Use Guidelines;
    • post anything that contains viruses, worms or other harmful code;
    • reverse engineer, decompile, disassemble, decipher or generally attempt to obtain the source code of the Services or any related technology that is not open source;
    • imply or state that you are affiliated with or sponsored by LinkXUP without our express consent (for example, impersonating an approved LinkXUP member);
    • rent, lease, lend, market, sell/resell or otherwise monetize the Services or associated data or access them without the consent of LinkXUP;
    • create deep links to our Services for any purpose other than promoting your profile or a group on our Services, without LinkXUP’s consent;
    • use computer bots or other automated methods to access the Services, add or download contacts, send or redirect messages;
    • monitor the availability, performance or functionality of the Services for competitive purposes;
    • use the technique of “framing”, “mirroring” or, in general, simulating the appearance or operation of the Services;
    • cover or otherwise modify the Services or their appearance (for example by inserting material into the Services or removing, covering or obscuring an advertisement included on the Services);
    • disrupt the operation of the Services or impose a disproportionate burden on them (e.g. spam, denial of service attacks, viruses, game algorithms); and or
    • violate the Association or Professional Community Policies or any additional terms in relation to a specific Service provided, when you register for such Service or your first use of such Service.
